1. What BizUtah is

BizUtah ("we", "us") operates bizutah.com, an online marketplace where business owners ("Sellers") publish listings and prospective purchasers ("Buyers") request information and communicate with Sellers through the platform. BizUtah is an intermediary and introduction service. We are not a party to any sale.

2. Accounts

You must provide accurate information and keep your login secure. You are responsible for activity under your account. One person may not create multiple accounts to evade a decision we've made.

3. Listings

Sellers represent that they are authorized to sell the business listed and that the information provided is accurate to the best of their knowledge. Listings are reviewed before publication and may be edited for clarity, declined, or removed at our discretion. Listings are free. Public listings display only the information marked public; confidential information is released solely to Buyers approved by BizUtah after signing a non-disclosure agreement.

4. Buyer requests and NDA

Buyers must sign the platform NDA before receiving confidential information and agree not to contact a Seller's employees, customers, suppliers, or landlord, and not to circumvent BizUtah, for 24 months. Electronic signatures on this platform are binding under the Utah Uniform Electronic Transactions Act and the federal E-SIGN Act. We keep a signed copy, timestamp, and IP address for every signature.

5. Fees

Buyers are not charged. Sellers pay no listing fee. A success fee may apply when a business sells to a Buyer introduced through BizUtah; the fee, if any, is agreed in a separate written agreement before any Buyer introduction. Where a transaction includes an interest in real estate (including a lease), any commission-based services are provided through a licensed Utah real estate brokerage.

6. No verification, no advice

Information in listings is provided by Sellers and is not verified by BizUtah. We provide no legal, tax, financial, or valuation advice. Buyers must conduct their own due diligence and consult their own advisors before any transaction.

7. Conduct

No false listings, no scraping, no harassment, no attempts to identify a business from a confidential listing outside the platform, and no use of information obtained here for any purpose other than evaluating a purchase.

8. Limitation of liability

To the fullest extent permitted by law, BizUtah's total liability for any claim arising from the platform is limited to $100. We are not liable for any transaction, or failure of a transaction, between users.

9. Governing law

These terms are governed by the laws of the State of Utah. Venue for any dispute is Salt Lake County, Utah.

10. Changes

We may update these terms; continued use after an update is acceptance. Questions: admin@bizutah.com.
