NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement ("Agreement") is entered into between the undersigned prospective buyer ("Recipient") and BizUtah ("Intermediary"), acting on behalf of the business owner ("Seller") of the listing identified in this request.
1. Confidential Information. Recipient acknowledges that the identity of the business, its name, location, financial statements, tax returns, customer and supplier information, employee information, lease terms, and any other non-public information provided through the BizUtah platform ("Confidential Information") is confidential and proprietary to the Seller.
2. Use. Recipient will use Confidential Information solely to evaluate a possible purchase of the business and for no other purpose. Recipient will not contact the Seller's employees, customers, suppliers, landlord, or competitors regarding the business without the Intermediary's written consent.
3. Non-Disclosure. Recipient will not disclose Confidential Information to anyone other than Recipient's attorney, accountant, or lender who need to know it for the purpose above and who agree to be bound by this Agreement.
4. Non-Circumvention. For 24 months from the date signed, Recipient will not, directly or indirectly, purchase, invest in, or enter into any transaction with the Seller or the business other than through the Intermediary. Recipient acknowledges the Intermediary's fee is earned by introducing the parties.
5. No Warranty. The Intermediary has not verified the Confidential Information and makes no representation as to its accuracy. Recipient will rely on its own due diligence.
6. Return. On request, Recipient will return or destroy all Confidential Information.
7. Governing Law. This Agreement is governed by the laws of the State of Utah. Venue is Salt Lake County, Utah.
